Company Formation & Market Entry Services in UAE
Setting up a company is the easy part.
The decisions around it, where to register, which license to hold, who owns the shares and where are your suppliers, your buyers and how do you get your payments move across the borders decide how your business runs for years afterwards. Avenox advises those decisions first, then handles the formation and your entry into new markets.

About the service
What we do
We form companies in the UAE, on the mainland, in free zones and in DIFC and ADGM, and we support international businesses entering new markets through our partner network. Every setup is designed so the company can open a bank account, is licensed for what you actually do, and stands up when a bank or regulator asks questions.
Holding companies and SPVs
We also form holding companies and special purpose vehicles (SPVs) for clients holding property, shares in other companies, or family assets.
An ADGM SPV or a DIFC Prescribed Company, common law structures used to hold UAE and GCC assets, with no requirement for physical office space. Both need a qualifying connection to the UAE or GCC and a registered agent.
A holding company or SPV in any of the countries we cover, chosen for where the assets, shareholders and banking sit.
The right vehicle depends on what you are holding and where your banks are. We advise on the choice before we form anything.

Frequently Asked
Questions
What is the difference between corporate structuring and restructuring?
Structuring is designing your company setup from the start. Restructuring is changing an existing setup, such as moving ownership, merging entities or adding a holding company.
Can a foreigner own 100% of a company in the UAE?
Yes, for most activities. Free zone companies allow full foreign ownership, and since 2021 most mainland activities do too. A small list of strategic activities still has restrictions.
Is a restructuring taxable under UAE Corporate Tax?
It can be tax-neutral if conditions are met. Business Restructuring Relief and Qualifying Group Relief allow certain transfers without an immediate tax charge, but they have conditions, such as a 75% common ownership test and a two-year period in which the relief can be reversed. We coordinate with your tax adviser to confirm eligibility.
Should I set up on the mainland or in a free zone?
It depends on where your customers are and what you do. Mainland companies can trade anywhere in the UAE. Free zone companies suit international trade and holding activities. Many groups use both.
How long does a corporate restructuring take?
A single share transfer can take a few weeks. A group reorganisation across several countries can take a few months. We give you a timeline after the review.
