Company Setup in Saudi Arabia and Bank Accounts
Company setup in Saudi Arabia is no longer slow, but it is strict about order and about presence. We take foreign groups from investor registration to a working company and a corporate account, without steps taken out of sequence.
About Saudi Arabia as a market for foreign companies
Saudi Arabia is the largest economy in the Gulf, and under Vision 2030 it is investing heavily to move beyond oil into logistics, mining, manufacturing, tourism and financial services. For most foreign groups it is not a hub for reaching other markets. It is the market, with a large population and significant government spending behind it.
The legal framework has been rebuilt in a few years. A new Companies Law took effect in January 2023. A new Investment Law followed, and its regulations, issued in February 2025, replaced the foreign investment license with a registration at the Ministry of Investment (MISA). Since January 2024, most government bodies award contracts only to foreign groups with a regional headquarters in the Kingdom.
What the Kingdom asks in return is real presence. Local hiring quotas, a resident general manager and local tax registration are part of operating here. They cannot be managed from another country, and the authorities and banks both check.
Corporate tax and zakat
20% corporate tax on the foreign-owned share of profits, and 2.5% zakat on the share owned by Saudi and GCC nationals.
VAT and e-invoicing
15% VAT on most goods and services, with electronic invoicing being extended to businesses in phases by ZATCA.
Foreign ownership
Full foreign ownership is allowed in most sectors, with an official list of activities that are restricted or need approval.
Saudi riyal and dollar peg
The riyal is pegged to the US dollar at 3.75, so pricing and cash planning stay predictable for importers and exporters.
Company setup in Saudi Arabia: the steps that matter
Company setup in Saudi Arabia passes through more agencies than elsewhere in the Gulf, and each one relies on the step before it. Most delays come from doing things out of sequence, not from any single authority.
MISA registration
Registering the foreign investor with the Ministry of Investment, which replaced the old license and has to be renewed every year.
Commercial registration
Forming the company with the Ministry of Commerce, usually as a limited liability company, with articles written to the new Companies Law.
Tax, address and labor files
Registering with ZATCA for tax, recording a national address, and opening the company’s files with the labor and social insurance systems.
Resident general manager
Appointing a manager who holds a residence permit, and who in practice becomes the person banks and authorities expect to meet.
Groups that want government work face a separate decision: the regional headquarters license, which carries its own staffing and substance conditions. It is far easier to settle that before the operating company is formed than to restructure around it later.
Formation itself runs through our Company Formation and Market Entry service. Where the Saudi company will sit under a holding entity in the UAE or elsewhere, we design that link through Holding Companies and SPVs.
Bank account opening in Saudi Arabia
In Saudi Arabia the corporate account is usually the last step to finish, and the one that exposes every earlier shortcut. Banks expect the company file to be complete and consistent before they review it, and they expect to verify the signatory in person.
We start with how money will move, then point you to the bank whose appetite fits that pattern, and we prepare the file so nothing is missing at the first meeting. No advisor can promise that a Saudi bank will accept a company. Our job is to make sure it has no reason to say no.
Corporate Banking and Account Opening Support covers the application. If the company will trade with the UAE, Cross-Border Payments Advisory covers how money moves between the two.

Company setup in Saudi Arabia: common questions
No. Under the regulations issued in February 2025, the license was replaced by a registration with MISA. It is simpler, but it must be updated every year, and missing the deadline can mean registering again.
Only if it wants contracts with Saudi government bodies, which since 2024 generally require one, with limited exceptions. Companies selling to private customers can operate without it.
Because banks verify the signatory through Saudi digital identity checks tied to a residence permit, and many meet the signatory in person. A manager living abroad is the most common reason accounts stall.
