Company Setup in Brazil with Capital That Can Return
Company setup in Brazil is as much about money moving in and out as about the company itself. We register the business, its foreign capital and its bank relationship together, so profits can later leave the way they arrived.
About Brazil as Latin America’s largest economy
Brazil is the largest economy in Latin America and one of the world’s main exporters of soybeans, iron ore, coffee, beef and oil. São Paulo is the region’s leading business and financial center, and Brazilian buyers form a large domestic market of their own.
Gold is part of that export story, and its rules have hardened. In 2025 the Supreme Federal Court ended the legal presumption that gold buyers act in good faith, so buyers must now prove where the metal came from. Gold sales already require electronic invoices issued through the federal tax system.
The tax system is also in the middle of a large reform. Two new consumption taxes are replacing five older ones in stages from 2026 to 2033, and since January 2026 dividends paid to shareholders abroad carry a 10% withholding tax.
Profit tax up to 34%
Corporate income tax of 15%, a 10% surcharge above R$240,000 of annual profit, and a 9% social contribution.
Consumption tax in transition
New federal (CBS) and state and municipal (IBS) taxes are phasing in, replacing the old system by 2033.
10% tax on dividends abroad
From January 2026, dividends sent to foreign shareholders are taxed at 10%, with relief for older profits.
Brazilian real and Pix
Payments run in reais, and the Central Bank’s instant payment system, Pix, is used by most businesses.
Company setup in Brazil with an LTDA
Foreign investors usually choose the LTDA, a limited liability company, which needs at least one partner and no set minimum capital for most activities. Its articles are filed with the commercial board (Junta Comercial) of the state where it will operate, which then triggers its federal tax number (CNPJ).
Tax numbers for each partner
Foreign individuals need a CPF and foreign companies a CNPJ before they can become partners in a Brazilian company.
A local attorney-in-fact
Each foreign partner appoints a person resident in Brazil, with power to receive legal service on their behalf.
A resident administrator
Commercial boards usually expect the company’s administrator to live in Brazil. Practice varies by state.
Foreign capital registered
Capital arriving from abroad is declared to the Central Bank, which allows profits and capital to leave later.
That last step is easy to overlook and costly to miss. Money that arrives without a matching registration may not be convertible back into foreign currency later, and late declarations can be fined. We treat the Central Bank filing as part of the formation, not an afterthought.
Company Formation and Market Entry takes you through each stage of company setup in Brazil. If the Brazilian company will be held from the UAE or Spain, Holding Companies and SPVs covers the ownership chain and how dividends will travel back.
Bank account opening in Brazil
A Brazilian business account usually comes after the CNPJ is issued, and it is often the slowest step in the whole process. Banks follow the Central Bank’s anti-money laundering rules and look closely at foreign partners, the source of incoming capital and the sectors the company will work in.
We prepare the ownership documents, the foreign exchange paperwork and the trade profile as one file, then approach banks that accept foreign-owned companies. No bank’s answer can be promised by an advisor. Our job is to make sure the answer is based on a complete and accurate file.
Corporate Banking and Account Opening Support covers the account itself, and Cross-Border Payments Advisory covers how reais, dollars and dirhams move between Brazil and your other markets.

Company setup in Brazil: common questions
Yes, in most sectors. A foreign company can hold all of an LTDA’s quotas once it has its own CNPJ, is registered with the Central Bank as an investor and appoints an attorney-in-fact resident in Brazil.
There is no general minimum for an LTDA, though some regulated activities have their own. Partners remain liable for capital they declare but have not paid in, so declare what you will actually transfer.
Two new consumption taxes, CBS and IBS, replace older ones in stages. 2026 is a test year with small rates and new reporting, CBS applies fully from 2027 and the old state taxes end by 2033.
